Article I
Introductory

Section 1.1 Name. The name of the Corporation is Southpointe CEO Association.

Section 1.2 Statement of Purposes. The Corporation is organized for the purposes set forth in Section 5.01(c)(6) of the Internal Revenue Code (or the corresponding provision of any future United States Revenue law) (the “Code”) including by way of example:

  • To improve the business conditions and encourage development in Southpointe and Washington County.
  • To promote the common interests of the corporations, partnerships and sole proprietors
    in the service area; and provide educational and group purchasing opportunities,
    including group insurance purchasing.

Section 1.3 Offices. The principal and registered office of the Corporation shall be located at
the offices of Centimark Corporation, 12 Grandview Circle, At Southpointe, Canonsburg, Pennsylvania 15317, or at such other place as the Board of Directors may designate from time
to time.

Section 1.4 Fiscal Year. The fiscal year of the Corporation shall end on June 30 th of each year,
or on such other date as may be fixed by resolution of the Board of Directors.
